This PRIVACY POLICY (“Policy”) applies to 1Triad, LLC, a North Carolina limited liability company, doing business as ‘OneTriad’ (collectively the “Company”, “1Triad”, “OneTriad” or “1T”) online tools and platform(s), including the associated 1T mobile and desktop applications, www.1triad.com and other 1T websites (collectively, the “Services”) and other interactions (e.g. customer service inquiries, user conferences, virtual or in-person meetings) you may have with 1Triad. Except as otherwise indicated, this Privacy Policy describes how 1Triad collects, uses, and shares your personal information and your choices with respect to your personal information. This Privacy Policy is for informational purposes and does not constitute a binding contract, except where explicitly stated in your service agreement with us.

WHAT WE DO WITH YOUR INFORMATION. We want to be clear about what information we collect and how we use it to deliver our Services to you, improve your life, operate and grow our business, and help make our Services more useful, intelligent, and effective. We may also share your Personal Information with our affiliates, service providers, and other trusted partners as described in this Privacy Policy. We do not sell your Personal Information to third parties for their own commercial uses without your consent.

  1. DEFINITIONS

    1. Personal Information: Any information that directly or indirectly identifies an individual, including information provided by the users of our Services, received from third-party service providers, or automatically collected.
    2. Processing: Any operation performed on Personal Information including collection, storage, use, or deletion.
    3. Controller: The organization that determines the purposes and means of processing Personal Information.
    4. Processor: An organization that processes Personal Information on behalf of a controller.

  2. We get information about you in a range of ways:

    1. INFORMATION YOU GIVE US. We may collect personal information that you voluntarily provide when using our Services, including your full name, postal address, email address, phone number, username, password, demographic details, feedback, survey responses, and testimonials. At your sole discretion, you may also provide any and all personal information through uploads, email correspondence, oral or written communications with our team. If you choose to provide compensation, revenue, or other financial information, you may redact, round, or approximate this data at your discretion prior to submission. We do not require exact financial figures, and we do not apply automatic redaction or anonymization processes to submitted data. If you prefer to keep specific information private, you are solely responsible for omitting or modifying that data before submitting it. We disclaim all liability for any consequences resulting from your decision to provide, redact, or round financial data, including any impacts on the relevance, accuracy, or usefulness of the Services we provide.

      If you purchase paid Services, we use a third- party payment processor (e.g., Stripe, PayPal, Zelle, QuickBooks) to handle billing and payment transactions. While we may collect and store billing-related contact information (such as your email), payment information, including credit card and banking details, is collected directly by our payment processor and are not stored on our servers.

    2. INFORMATION WE GET FROM OTHERS. We may receive information about you from other sources, including your customers, clients, employer, owners, employees, colleagues, partners, agents, advisors, consultants, or other representatives, particularly when they use our Services related to valuation or analysis. We may combine this information with data you provide directly to us through the Services.

      In some cases, personal or business information, including but not limited to compensation, revenue, profit, losses, assets debt, or other financial data, may be submitted by an authorized agent, advisor, or representative acting on your behalf. We treat such submissions as though they were provided by you directly, and we expect any third-party submitting information on your behalf to have obtained all necessary authorization and informed consent, where legally required. If you believe your personal or business information has been submitted without your knowledge or authorization, please contact us immediately using the contact information provided at the bottom of this document. We will investigate and, where appropriate, take corrective action.

      Advisor or Representative Submission Notice: If you electronically submit data through the website or otherwise provide Personal Information to OneTriad or its affiliates on behalf of a prospective client, existing client, customer, or any business entity, you hereby represent and warrant that: (i) you are duly authorized to act on behalf of such individual or entity; (ii) you have obtained all necessary rights, consents, and legal authority to disclose such information to us, including but not limited to business details, compensation, revenue, profits, losses, assets, liabilities, or other financial or proprietary data; and (iii) your submission does not violate any applicable laws, contractual obligations, confidentiality agreements, or fiduciary duties. We may request confirmation of such authorization upon request at any time. To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless OneTriad, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising out of or relating to: (i) your submission of information without proper authority or consent; (ii) any breach of the representations and warranties set forth above; and (iii) any misuse or unauthorized disclosure of personal, business, or financial information you provide.

    3. INFORMATION AUTOMATICALLY COLLECTED

      Device Information

      We may collect information about the devices accessing our Services. Some examples are: type of device, operating system used, application information, unique device identifiers and crash data. The type of information we collect depends on the type of device used and its settings.

      Transactional and Usage Information

      We may automatically log information about you and your computer, subject to your consent where required by law. For example, like most services when using our Services, we log your computer operating system type, browser type, browser language, pages or screens you viewed, how long you spent on a page or screen, location data (such as your IP address), access times and information about your use of and actions on our Services. This is information we collect from all user of the Services, regardless of whether they have an account or not. Some of this data may include Personal Information.

      Cookies and Similar Technologies Information

      As further described below, and subject to your consent where required by law, we automatically collect information from cookies and similar technologies as described in our Cookie Policy section.

  3. We may use, process and/or disclose Personal Information for the following purposes:

    1. To provide, improve, and administer our Services; enhance, communicate with you, for security and fraud prevention, and to comply with applicable laws. We may also process your information for other purposes with your consent. This includes facilitating user account creation and authentication, and otherwise manage user accounts. We may process your information to enable you to create and log in to your account, and to maintain account functionality.

    2. To deliver and facilitate the delivery of Services to the user. We may process your information to provide you with the services you request.

    3. To fulfill and manage your orders. We may process your information to fulfill and manage your orders, payments, returns, and exchanges made through the Services.

    4. To enable user-to-user communications. We may process your information if you choose to use any feature that allows communication between users.

    5. To evaluate and improve our Services, products, marketing, and user experience. We may process your information when we believe it is necessary to identify usage trends, determine the effectiveness of our promotional campaigns, and to evaluate and improve our Services, products, marketing, and your experience.

    6. To identify usage trends. We may process information about how you use our Services to better understand how they are being used so we can improve them.

    7. To protect the rights, safety and property of 1T, our agents, users, clients, customers, and others. This includes enforcing our agreements, policies, and terms of use, reporting on security breaches, and assisting with investigating and preventing fraud or security issues.

    8. We may share or transfer your information, including Personal Information, in connection with, or during negotiations of, any merger, sale of any company assets, reorganization, recapitalization, financing, acquisition, or similar event or proceeding involving all or a portion of our business.

    9. We may share your information with our affiliates, in which case we will require those affiliates to honor this Privacy Policy. Affiliates include any subsidiaries, joint venture partners, or other entities under common control with us such as Titus Alliance, LLC.

    10. We may share your information with our business partners to offer you certain products, services, or promotions.

    11. We may share Personal Information with third party companies or individuals that we engage as service providers to process information and support our business and Services. Examples include providers of cloud hosting and storage services, analytics, services, email delivery services and client support services.

    12. We may use any information you voluntarily submit in surveys. We may combine your responses with those of other Clients to better understand and improve our Services. Participation in any survey is optional.

    13. We may publicly share any review, testimonial, feedback, or other content that you submit or post in a public area of our Services. Please be aware that any information you disclose in these public areas may be visible to other users or the general public, and we may use or share this content for promotional or other purposes.

    14. We may share your information with courts, law enforcement agencies, or other government bodies when we believe in good faith that such disclosure is legally required or permitted, including to meet national security or law enforcement requirements, to protect our company, or to respond to a court order, subpoena, search warrant, or other law enforcement request.

  4. DATA RETENTION. We will only retain your personal information for as long as it is necessary to fulfill the purposes outlined in this Privacy Policy, unless a longer retention period is required or permitted by law (e.g. tax, accounting, professional designation practices, regulatory obligations, or other legal requirements).

    When we no longer have an ongoing legitimate business need to process your personal information, we will either delete or anonymize such information, or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible. If we anonymize your personal information (so that it can no longer be associated with you), we may use this information indefinitely without further notice to you.

  5. AGE LIMITATIONS. 1Triad does not permit use of the Services by individuals under the age of 18. We do not knowingly collect personal information from anyone under 18 without verified parental consent. If we become aware that a minor has provided us with personal data without such consent, we will take reasonable steps to delete that information. If you believe that someone under the age of 18 has submitted personal data to us without proper authorization, please contact us using the contact information provided below so we can take appropriate steps to investigate and, if necessary, delete the data.

  6. CALIFORNIA RESIDENTS. California Civil Code Section 1798.83, also known as the “Shine The Light” law permits our users who are California residents to request and obtain from us, once a year and free of charge, information about categories of personal information (if any) we disclosed to third parties for direct marketing purposes and the names and addresses of all third parties with which we shared personal information in the immediately preceding calendar year. If you are a California resident and would like to make such a request, please submit your request in writing to us using the contact information provided below.

    If you are under 18 years of age, reside in California, and have a registered account with the Services, you have the right to request removal of unwanted data that you publicly post on the Services. To request removal of such data, please contact us using the contact information provided below and include the email address associated with your account and a statement that you reside in California. We will make sure the data is not publicly displayed on the Services, but please be aware that the data may not be completely or comprehensively removed from all our systems (e.g., backups, etc.).

  7. INTERNATIONAL DATA TRANSFERS. In accordance with and as permitted by applicable law and regulations, we reserve the right to transfer your information, process and store it outside your country of residence in any territory where we or our third-party service providers operate.

  8. CHANGES TO OUR PRIVACY STATEMENTS. From time to time, we may change or update our privacy policies. We reserve the right to make changes or updates at any time. You are solely responsible for reviewing this notice for any changes. In the event we make material changes to this notice, as determined by us in our sole discretion, we will notify you and/or request that you accept our updated privacy notice. You are solely responsible for updating your personal information to provide us with your most current email address. If the last email address you provided is not valid or for any reason is not capable of delivering notifications to you, then, in the event we provide you notification via email, our dispatch of the email containing such notification will constitute effective notification of the changes made to this Privacy Policy. In the event you do not wish to permit changes in our use of your personal information, you must notify us using the contact information provided at the bottom of this document, that you wish to deactivate your account. If we make material changes to the way we process your personal information, we will provide you notice via our Services or by other communication channels, such as by email or community post. Your continued use of our Services following any changes to this privacy notice will indicate your acknowledgement of and consent to all changes, with the understanding that the updated privacy notice applies to all of your personal information, including the personal information collected before the changes went into effect.

  9. HOW WE RESPOND TO DO NOT TRACK SIGNALS. Various browsers, including, but not limited to, Firefox, Internet Explorer, and Safari, currently offer a “Do Not Track” or “DNT” option that relies on a technology known as a DNT header, which sends a signal to websites visited by the user about the user’s browser DNT preference setting. Please note that, at this time, we do not honor “DNT” signals or other mechanisms that may allow you to opt out of the collection of information across networks of websites and online services, as there is no standard for how online services should respond to such signals. As standards evolve, we may develop policies for responding to DNT signals that would be described in future versions of this notice.   10. SMS Text Communications and Transcription Services. We may use the telephone number(s) we collect from you for the purpose of one-to-one calls and text messages. By accepting this privacy notice, you consent to receive calls and text messages from us, including, but not limited to, from our client support and OneTriad personnel. This means we may contact you via call or text message to:

    1. Provide client support and respond to your inquiries.
    2. Inform you about important updates and changes to our Services.
    3. Offer personalized assistance and Services tailored to your interests.

    You may opt out of receiving calls and text messages from us by contacting us using the contact information provided at the bottom of this document. Please note that opting out may limit our ability to provide certain Services or support.

  11. Consumer Rights Under Certain U.S. State Laws. Residents of Colorado, Connecticut, Delaware, Iowa, Nebraska, New Hampshire, New Jersey, Oregon, Texas, Utah, Virginia, and any other U.S. state with an applicable consumer privacy law (“Covered Client”) have certain rights concerning their personal information beginning on the effective date of such law. This section supplements the preceding sections of this privacy notice by describing Covered Client additional rights with respect to their personal information and explaining how to exercise such rights, subject to applicable exceptions. Please note that for purposes of these rights under this section, personal information does not include information about job applicants, employees and other personnel, or representatives of third-party entities with which we may interact.

  12. Right to Request Access, Deletion, and Correction. Covered Client have the right to request that we confirm whether or not we are processing their personal information and the right to request access, correct, and delete their personal information. Residents of Delaware, Oregon, and certain other states may also request a list of third parties (as defined in applicable law) to whom we have disclosed personal information. To submit a request to access, delete, or correct your personal information, please contact us using the information provided at the bottom of this document.
